Terms of Service

1. Acceptance of Terms

By using the cloud-based accounting software (the "Service") provided by Estonian Accounting OU (registry code 16839461, address Harju maakond, Tallinn, Estonia; hereinafter "we" or "the Provider"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a binding agreement between you and the Provider. Use of the Service, including the creation of an account, constitutes your acceptance of all Terms.

2. Description of Service

Estonian Accounting is a cloud-based accounting platform designed for Estonian businesses. The Service includes the following features:

  • Invoice creation and sending (sales and purchase invoices)
  • Bank connections and transaction reconciliation
  • Financial reporting (profit and loss, balance sheet, trial balance, and more)
  • VAT declarations and tax reporting
  • E-invoice sending and receiving (Billberry)
  • AI-powered document processing (OCR, categorization, predictions)
  • Payroll and employee management
  • Fixed asset accounting and depreciation
  • Inventory management and stock movements
  • Sales pipeline (offers, orders, invoices)
  • Smart-ID authentication
  • XBRL annual report generation

3. Account Registration and Eligibility

To use the Service, you must create an account. By registering, you agree to:

  • Provide accurate and complete registration information
  • Keep your account credentials (password, 2FA) secure
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old or have the legal capacity to enter into contracts
  • Have the authority to represent the company for which you create the account

One person or legal entity may maintain multiple company accounts. You are responsible for all activities conducted under your account.

4. Subscription Plans and Billing

The Service offers the following plans:

  • Free Trial: 14 days, up to 50 documents, all features included. No credit card required.
  • Starter (EUR 19/month): up to 500 documents per month, 1 company, email support.
  • Pro (EUR 29/month): unlimited documents, unlimited companies, AI OCR, priority support, API access.

Billing terms:

  • Subscriptions are billed monthly through Stripe.
  • Subscriptions auto-renew unless cancelled before the start of the next billing period.
  • Upon cancellation, your subscription remains active until the end of the current billing period.
  • Refunds are issued only if the Service has been substantially unavailable (over 72 consecutive hours).
  • Price changes will be notified 30 days in advance.

5. User Responsibilities

When using the Service, you agree to:

  • Enter accurate and complete financial data
  • Comply with all applicable laws, including Estonian accounting and tax legislation
  • Review and verify all AI-generated data before finalizing
  • Ensure your tax declarations are correct — the Service is a tool, not a substitute for professional accounting advice
  • Not use the Service for unlawful activities, including money laundering or tax fraud
  • Not probe for vulnerabilities or overload the system excessively
  • Not resell or distribute the Service without our written permission

6. Intellectual Property

Our software: The Service software, including all source code, design, trademarks, and documentation, is the intellectual property of the Provider. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your data: All data you input into the Service remains your property. We do not claim ownership of your data. For the purpose of providing the Service, you grant us a limited license to process your data.

7. Data Ownership and Portability

Your data is yours. We process it solely for the purpose of providing the Service.

  • You can export all of your data at any time in machine-readable JSON format (POST /account/export-data).
  • You can export accounting data in SAF-T XML format.
  • Upon account termination, you may download your data within 30 days before permanent deletion.

8. Service Availability

We aim to provide 99.9% Service uptime. However, this is a target, not a guarantee. The Service may be temporarily unavailable due to:

  • Scheduled maintenance periods (notified in advance)
  • Third-party service interruptions (banks, EMTA, Billberry)
  • Force majeure events

We are not liable for direct or indirect damages arising from temporary unavailability of the Service.

9. AI Features

The Service includes AI-powered features, including invoice OCR, chat assistant, transaction categorization, and predictive analytics. By using these features, you agree to the following:

  • AI-generated results must always be reviewed by a human before finalization.
  • We are not liable for errors in AI-extracted data that is approved without review.
  • AI features are optional and can be disabled at any time.
  • AI processing is performed via the Anthropic Claude API; your data is not used for model training.

10. Third-Party Integrations

The Service integrates with third-party services including:

  • Banks (via GoCardless/Nordigen) — for transaction syncing
  • Estonian Business Register (Ariregister) — for company data lookups
  • EU VIES — for VAT number validation
  • European Central Bank — for exchange rates
  • Stripe — for payment processing
  • Billberry — for e-invoice sending and receiving
  • EMTA — for VAT declaration submission
  • SK ID Solutions — for Smart-ID authentication

These integrations are subject to the respective third-party terms of service. We are not responsible for the availability or accuracy of third-party services.

11. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service infrastructure
  • Use the Service to store or transmit malicious code
  • Resell or redistribute the Service without authorization
  • Use automated scrapers or bots in a manner that overloads the service
  • Attempt to circumvent security measures or rate limits

Violation of these rules may result in temporary suspension or permanent closure of your account.

12. Limitation of Liability

The Service is provided "as is" without warranty of any kind. We are not responsible for:

  • Financial losses resulting from software errors
  • Tax penalties resulting from incorrect reports or late filings
  • Data loss beyond our reasonable control
  • Damages resulting from third-party service outages or errors
  • Damages resulting from business decisions made based on AI-generated recommendations

The Service is a tool, not a substitute for professional accounting or legal advice. You are obligated to review all reports and tax declarations before submission.

Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

13. Termination

By you: You can cancel your account at any time through account settings. Upon cancellation, your subscription remains active until the end of the current billing period.

By us: We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You use the Service for unlawful purposes
  • Your payment fails repeatedly
  • Your account has been inactive for more than 12 months (for free accounts)

Data on termination: After account termination, you have 30 days to download your data. After the 30-day period, your data will be permanently deleted, except for accounting documents required by law, which are retained for 7 years.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Provider from any claims, damages, costs, and fees (including reasonable attorney fees) arising from your breach of these Terms, your use of the Service, or the inaccuracy of data you input.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia. Any disputes that cannot be resolved through negotiation shall be settled in the Harju County Court in Tallinn, Estonia.

Consumers have the right to contact their local consumer protection authority or use the EU Online Dispute Resolution platform (ODR) at https://ec.europa.eu/consumers/odr.

16. Changes to Terms

We reserve the right to modify these Terms at any time. In the event of material changes, we will notify you by email or in-service notification at least 30 days in advance. Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you have the right to cancel your account before the changes take effect.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity and enforceability of the remaining provisions. The invalid provision will be replaced by a valid provision that most closely matches the purpose of the original provision.
